By accessing or using our website, creating an account, purchasing products, or subscribing to membership, you agree to these Terms & Conditions (“Terms”). If you don’t agree, please do not use the site.


1) About Jasalex Poultry

We sell chicks and chicken (live animals) and related farm products, and we offer optional membership for extra features and vendor listing services (the “Services”).

2) Updates to These Terms

We may update these Terms at any time by posting a new version on the site. The “Effective date” above shows when they last changed. Material changes will apply prospectively.

3) Eligibility & Accounts

  • You must be at least 18 and capable of entering a binding contract.
  • Keep your login secure. You’re responsible for all activity on your account.
  • Provide accurate information and update it when it changes.
  • We may suspend or terminate accounts that breach these Terms.

4) Products & Availability

  • Product images/specifications are for guidance; reasonable variations may occur.
  • We may limit or cancel quantities and correct errors (pricing, stock, descriptions).
  • Live animals require appropriate care immediately upon delivery/collection.

5) Prices, Currency & Taxes

  • Prices are shown in Kenyan Shillings (KES) and include/exclude taxes as indicated.
  • We may change prices at any time before you place an order. Promotions may have separate terms.

6) Ordering & Contract Formation

  • Your order is an offer. A contract forms when we confirm the order by email or on-screen and accept payment.
  • If we cannot fulfil an order after payment, we’ll refund you promptly.

7) Payments (Pesapal & Other Channels)

  • We accept payments via Pesapal (mobile money/M-Pesa and cards) and any other methods shown at checkout.
  • You authorize us and our processors to charge your selected payment method.
  • We may use fraud checks and decline/suspend transactions we suspect are fraudulent or non-compliant.
  • Chargebacks: if you dispute a valid charge, you remain liable for amounts and any fees where the dispute is resolved in our favour.

8) Delivery, Shipping & Collection (Live Animals)

  • Delivery/collection options and fees are shown at checkout or provided by us.
  • Risk & Title:
    • For delivery, risk passes to you when the order is delivered to the address you provide (or to a designated pickup point/agent).
    • For collection, risk passes when you or your agent accept the goods at our pickup point.
  • You must provide correct delivery details and be available to receive live animals at the agreed time window. Missed delivery may require re-delivery at additional cost.
  • Weather/Transport Delays: we may reschedule for animal welfare and transport safety.

9) Live Arrival (DOA) & Returns

  • Non-returnable: Live animals generally cannot be returned for biosecurity reasons.
  • DOA Policy: If any chicks/chicken arrive dead or in critical condition:
    1. Notify us within [2–4 hours] of delivery/collection,
    2. Provide clear timestamped photos/video, and
    3. Keep packaging/labels for verification.
      If approved, we will replace the affected quantity or credit/refund at our discretion.
  • Non-live products: You may request a return within [7–14] days if unopened/unused and in resale condition (excludes feed opened/used). Return shipping is your responsibility unless we delivered the wrong or defective item.
  • Warranties are limited to those expressly stated for a product.

10) Memberships & Subscriptions

  • Membership gives access to digital features/services (e.g., vendor listing, promotions) described on the site.
  • Plans: Monthly (e.g., KSh [300]) and Yearly (e.g., KSh [3,000]). Prices may change for future terms.
  • Cancellation: You can cancel effective at the end of the current term from your account. We don’t prorate or refund partial periods unless required by law or stated otherwise.
  • Fair Use: We may limit misuse (spam, misrepresentation, abuse of promos). We may suspend/terminate for violations.

11) Vendor/Marketplace Accounts (If You List With Us)

  • Vendors must provide accurate business details and comply with all laws, permits, and biosecurity rules.
  • Listings: must be truthful, lawful, and not infringe third-party rights. Prohibited items/services may not be listed (e.g., illegal products, counterfeit items).
  • Orders & Fulfilment: Vendors are responsible for order fulfilment, quality, delivery, and customer service for their listings.
  • Fees/Commission: As stated on the site or in your dashboard. We may offset fees from settlements.
  • Payouts: Settlement timelines and methods are stated in your vendor portal. Provide correct bank/mobile wallet details.
  • Ratings/Reviews: We may display and moderate user feedback in line with our policies.
  • Delisting/Suspension: We may remove listings or suspend vendors for policy or legal breaches.

12) User Content & Reviews

  • You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display content you submit (e.g., reviews, photos) to operate and promote the Services.
  • Don’t post illegal, harmful, defamatory, infringing, or misleading content. We may remove content that breaches these Terms and follow legal procedures.

13) Acceptable Use

You agree not to:

  • Interfere with the site’s security or other users’ accounts;
  • Use the Services to violate laws, infringe IP rights, or engage in fraud/spam;
  • Attempt to reverse engineer site functionality;
  • Collect personal data without consent or outside our Privacy Policy.

14) Intellectual Property

All site content (logos, text, images, layouts, software) is owned by us or our licensors and protected by IP laws. You may not copy or exploit it except as allowed by law or with our written consent.

15) Privacy

16) Third-Party Services (Including Pesapal)

We integrate third-party tools (e.g., Pesapal for payments). Their terms and privacy policies apply to your use of those services. We are not responsible for third-party outages, errors, or losses they cause.

17) Disclaimer (Live Animals & Services)

Except as expressly stated:

  • We provide the site “as is” and “as available”, without warranties of any kind;
  • For live animals, outcomes depend on handling, environment, and husbandry beyond our control. We don’t guarantee growth, egg yield, or performance.

18) Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential losses, lost profits, or loss of data.
  • Our total liability for any claim is limited to the amount you paid to us for the order or membership giving rise to the claim in the last 3 months.

19) Indemnity

You agree to indemnify and hold us harmless from claims arising from your breach of these Terms, your misuse of the Services, or your listings (for vendors).

20) Force Majeure

We aren’t liable for delays or failures caused by events beyond our reasonable control (e.g., extreme weather, transport disruption, power/internet failures, regulatory orders).

21) Suspension & Termination

We may suspend or terminate access for breach, fraud risk, non-payment, or legal compliance. You can stop using the Services at any time. Sections that by nature should survive termination do so (e.g., IP, liability, indemnity).

22) Governing Law & Disputes

These Terms are governed by the laws of the Republic of Kenya. Courts of Kenya have exclusive jurisdiction.
Optional: We may first attempt amicable settlement/mediation before litigation.

23) Notices

24) General

If any provision is unenforceable, the rest remain in effect. No waiver is a continuing waiver. These Terms, plus any policy referenced here (e.g., Privacy Policy), are the entire agreement between you and us.

25) Safety, Offline Meetings & Third-Party Interactions (Important Disclaimer)

  • Marketplace role. Jasalex Poultry Farm (“Jasalex”) operates an online platform where independent buyers and vendors can discover one another and arrange transactions. We are not a party to interactions or meetings between users, do not employ, supervise, or control users, and do not guarantee any user’s identity, background, intentions, competence, or legality.
  • No screening guarantee. While we may use limited verification or fraud-detection tools, we do not run comprehensive criminal background checks and cannot guarantee any person you meet is safe or legitimate. You are solely responsible for vetting the people you deal with.
  • Assumption of risk. If you choose to communicate with, meet, visit, or trade with any user you found through our site (including delivery/collection of live animals), you do so entirely at your own risk. To the maximum extent permitted by law, Jasalex is not liable for any loss, injury, death, property damage, theft, fraud, misrepresentation, scam, harassment, or other harm arising from or related to your interactions with other users—whether online or in person—even if facilitated by our platform.
  • Your safety responsibilities. You agree to:
    • Use only the payment and messaging channels we list as available on the site where possible.
    • Meet in public places during daylight, bring another adult, and share your location with someone you trust.
    • Do not prepay or release goods until you are satisfied you are dealing with the correct person and funds are cleared.
    • Verify identities, phone numbers, vehicle details, and any permits as relevant (e.g., for transport of live animals).
    • Keep records (messages, receipts, photos, video) of your transaction.
    • Immediately report suspicious behaviour to us at [[email protected]] and, where appropriate, to law enforcement (e.g., DCI or the nearest police station).
  • Hold harmless & indemnity. In addition to the indemnity in Section 19, you agree to defend, indemnify, and hold Jasalex harmless from any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your communications, meetings, deliveries, collections, or transactions with other users.
  • Emergency. If you feel unsafe or are in immediate danger at any point, contact emergency services/police first.
